1. Acceptance of Terms
These Terms form a legally binding agreement between you and Ari. We may update these Terms from time to time. When we make material changes, we will update the Effective Date and post the revised Terms on this page. Your continued use of the Service after the Effective Date constitutes acceptance of the updated Terms.
2. Who We Are
Ari provides a conversational AI platform designed for individuals and business teams. The Service includes chat interfaces, workspace organization tools, and related features that may evolve over time.
3. Eligibility and Accounts
Minimum Age. You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older.
Accounts. You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not share your account credentials or allow others to use your account. If you use the Service on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization.
Third-Party Sign-In. If you sign in using a third-party provider, you authorize us to access and store information from that provider as permitted by your settings and their terms.
4. Using the Service
You may access and use the Service only for lawful purposes and in compliance with these Terms and any acceptable use guidelines we publish.
You agree not to:
- Use the Service for any illegal, harmful, fraudulent, abusive, or unauthorized purpose, or in any way that violates the rights of others (including intellectual property, privacy, and publicity rights).
- Probe, scan, scrape, stress-test, or interfere with the Service in any manner that could impair its performance, security, or stability.
- Circumvent access controls or reverse engineer any portion of the Service, except where applicable law expressly prohibits this restriction.
- Use the Service or its outputs to develop, train, or improve competing AI models or services in violation of these Terms.
- Upload or solicit content that exploits or endangers minors, contains malware, or is used for phishing, spam, or impersonation.
- Rely on the Service for high-stakes automated decisions affecting safety, legal rights, employment, credit, or other material outcomes without appropriate human review and compliance with applicable law.
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.
5. User Content
You may provide inputs to the Service (including messages, prompts, and uploaded files — "Input") and receive generated responses ("Output"). Input and Output are collectively referred to as "User Content."
Ownership and License. To the extent permitted by law, you retain ownership of your Input. We grant you a limited, non-exclusive, non-transferable license to use Output for your lawful purposes. Because of the nature of AI, similar Output may be generated for different users, and Output is not exclusive to you.
License Grant to Us. You grant Ari a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your User Content as reasonably necessary to operate, secure, maintain, and improve the Service, to enforce these Terms, and as described in our Privacy Policy.
Accuracy. AI-generated content can be inaccurate, incomplete, or biased. You are solely responsible for reviewing and verifying all Output before relying on it. The Service does not constitute legal, medical, financial, or other professional advice. Do not treat Output as a substitute for professional judgment.
6. Intellectual Property
Ari and its licensors own all rights, title, and interest in and to the Service, including all software, technology, designs, documentation, and branding. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
Any feedback, suggestions, or ideas you submit regarding the Service grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
7. Privacy and Security
Our Privacy Policy describes how we collect, use, and disclose personal information. You acknowledge that no security practice is perfect and agree to use strong passwords and notify us promptly of any unauthorized account access.
8. Fees and Paid Features
Some features may be offered on a paid or subscription basis. If you purchase paid access, you agree to the pricing and billing terms presented at checkout, including any automatic renewal. Fees are generally non-refundable except where required by law. We may change prices with reasonable advance notice where required by applicable law.
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, if required by law, or to protect the Service or other users.
Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnity, and governing law) will remain in effect.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Ari and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the United States of America. You consent to the personal jurisdiction and venue of such courts.
The Service is offered only to individuals located in the United States. If you are not located in the United States, you may not access or use the Service.
14. General Provisions
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ari regarding the Service.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.
Export Compliance. You agree to comply with all applicable export control and sanctions laws.
Changes. We may modify these Terms at any time. Material changes will be effective as of the updated Effective Date posted above. Your continued use of the Service after that date constitutes acceptance of the changes.
